Terms of Service
These Terms of Service govern your use of the Source Grid website and our agricultural sourcing services. By accessing or using the platform, you agree to be bound by these terms and by our Privacy Policy.
1. Acceptance of Terms and Eligibility
By accessing or using the Source Grid website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use the platform.
- No Account Required. You do not need to create an account to use this website. Submitting any form on the site constitutes acceptance of these terms
- Minimum Age. You must be at least 18 years old to submit a request, place an order or apply for a position through this website. We do not knowingly collect information from anyone under 18, as stated in Section 12 of our Privacy Policy
- Authority. Where you submit a request on behalf of a company, you confirm that you are authorised to do so on that company's behalf
2. Our Services
Source Grid connects buyers with Kenyan agricultural producers and coordinates sourcing requests, quotes, fulfilment and logistics. Our catalogue covers coffee, tea, nuts, honey, spices, herbs, fresh and dried fruits, vegetables, superfoods, seeds, oils, flowers and other natural agricultural ingredients.
2.1 Two Types of Order
- Export Orders: For international buyers, shipped by sea, air or road
- Local Orders: For buyers within Kenya, delivered as standard or express delivery, or collected by you
The two flows collect different information and offer different payment and delivery options, as set out below.
2.2 Product Availability
Our catalogue describes products we source. Listing a product is not a warranty that it is available in any given quantity at any given time. Availability is subject to seasonality, harvest conditions and current stock.
3. How an Order Is Formed
Please read this section carefully, as it sets out the point at which a binding agreement comes into existence.
- Your Request Is Not an Order. Submitting a sourcing request or a local order through our forms is a request for a quotation. It does not create a binding contract and does not oblige us to supply
- Our Quote Is the Offer. Our team reviews your request and issues a formal quote setting out products, quantities, prices, delivery method and charges. Quantities, prices and delivery timelines given before that point are indicative estimates only
- Your Acceptance Forms the Agreement. A binding agreement is formed when you accept our quote, on the terms stated in that quote
- We May Decline. We may decline or withdraw a request or quote where a product is unavailable, where the information provided is incomplete or appears fraudulent, or where supply would breach applicable law
4. Quotes
- Validity Period: A quote is valid for 30 days from the date it is issued, unless the quote itself states otherwise. After that it expires and must be re-issued
- Revisions: We may issue a revised quote if the scope of your request changes, or if a change in product availability, stock or shipping cost makes the original quote unworkable. A revised quote replaces the one before it
- Accepting or Rejecting Online — Export Orders Only: Export order quotes can be accepted or rejected directly from the secure quote link we email you. Local Kenyan order quotes cannot be accepted or rejected online and are confirmed directly with our team
- Expired or Already-Answered Quotes: A quote that has expired, or that has already been accepted or rejected, cannot be answered again through the link
5. Pricing, Delivery Charges and Promotional Codes
- Currency: Prices and shipping rates are calculated in Kenya Shillings (KES) unless a quote expressly states another currency
- Delivery and Shipping Charges: Delivery or shipping charges are made up of a base rate plus a rate applied to the weight of the consignment. Which rate applies is determined by the delivery method you select and your destination: we look first for a rate set for your specific country, then for the region that country belongs to, and otherwise apply our standard rate. The charge is shown as a separate line on your quote. Rates vary by destination and may change over time. The rate that applies to your order is the one stated on your quote
- Duties and Taxes: Unless your quote expressly says otherwise, import duties, customs charges, port fees and destination taxes are your responsibility as the buyer
- Promotional Codes: Where we issue a promotional code, it applies only to the quote it was issued against and is subject to the conditions set on it: it must be active, it may carry an expiry date after which it is refused, it may cap how many times any one customer can use it, and it may be restricted to particular product categories or particular products, in which case it applies only where your order contains them. Codes have no cash value and cannot be exchanged for money
- Errors: If a price is stated in obvious error, we will tell you before proceeding and will not be bound by the erroneous figure
6. Payment
- No Payment Is Taken on This Website. Our payment page displays the payment details for an accepted quote. It does not collect card numbers, bank credentials or M-PESA PINs, and we operate no online payment gateway. Payment is arranged directly with our team using the details on that page
- Export Orders — accepted methods are telegraphic transfer, letter of credit, cash on delivery, online payment arranged separately, M-PESA, and bank transfer
- Local Kenyan Orders — accepted methods are M-PESA, bank transfer, cash on delivery, and cheque
- Confirmation: The applicable method and payment terms for your order are those recorded on your quote. Goods are released and shipped only once payment has been confirmed in accordance with those terms
- Beware of Fraud: We will never ask you for a password, a card PIN or an M-PESA PIN. If you receive payment instructions that differ from those on your quote page, contact us before paying
7. Updating or Cancelling an Order
- Self-Service Updates: When you place an order we email you a secure link that lets you amend your order details yourself. This link expires 30 days after the order is placed
- What You Can Change, and Until When: The link stops accepting changes altogether once your order is marked completed or cancelled. Before that point, what you may change depends on the type of order and on how far it has progressed — see 7.3 and 7.4 below
- Local Kenyan Orders: Your name and email address cannot be changed through the link at all, because they identify the order; contact us if either is wrong. The products on the order can be changed only while it is still pending. The delivery method, payment method and preferred date can be changed only until the order is confirmed. Your phone number, company, county, town, delivery address and notes remain changeable until the order is completed or cancelled
- Export Orders: All the details you submitted — including your name, email, products, delivery method, payment method and preferred date — remain changeable until the order is completed or cancelled
- Confirmation of Changes: Every change you make through the link is emailed back to you as a summary, so that a change you did not make is visible to you
- Audit Trail: Every use of an update link is recorded, including the IP address and browser used, the time, and what was changed. This protects you as much as us. See Section 2.6 of our Privacy Policy
- Changes After the Link Closes: Once the link expires or declines a change, please contact us directly. A change at that stage is subject to our agreement and to what has already been committed
- Cancellation: Requests to cancel should be sent to us as early as possible. Where we have already committed to a supplier, incurred shipping costs, or begun fulfilment, those costs may not be recoverable
8. Secure Links We Email You
Because we do not ask you to create an account or a password, we instead email you links containing a long, random token. These links let you view your quote, view your order, view payment details, apply a promotional code, or update your order.
- Anyone Holding the Link Can Use It. These links are not protected by a password. Treat them as you would treat a key
- Do Not Forward or Share Them. Anyone you send the link to can see the order information it addresses, and can act on it where the link permits action
- Tell Us If a Link Is Exposed. If you believe a link has been shared, intercepted or misused, contact us and we will invalidate it and issue a new one
- Responsibility: We are not responsible for access obtained by someone to whom you forwarded, published or otherwise disclosed one of these links
9. Quality and Compliance
We work to internationally recognised quality and food-safety standards, and we collaborate with recognised certification bodies as part of our sourcing process.
- State Your Requirements Early. If your market requires a specific certification, standard or document, please state this when you submit your request, so that it can be reflected in the quote. Requirements raised after a quote is accepted may not be capable of being met
- Certification Is Product-Specific. Certifications, inspections and documentation vary by product, by destination market and by season. What applies to your order is what is stated on your quote and its supporting documents
- Perishable Goods. Fresh produce, flowers and other perishable products are sensitive to handling, temperature and transit time. Where you select a delivery method unsuited to a perishable product against our advice, we cannot accept responsibility for deterioration in transit
10. Acceptable Use
When using this website, you agree not to:
- Submit false, misleading or fraudulent information, or place an order in someone else's name without their authority
- Attempt to gain access to our administrator or employee areas, to any account, or to any data that is not your own
- Attempt to guess, enumerate or reuse the secure link tokens described in Section 8
- Use automated tools to submit forms, scrape the catalogue, or generate load on the site. Our forms, file uploads, quote responses and login pages are rate limited, and circumventing those limits is a breach of these terms
- Upload any file containing malware, or any file you are not entitled to share
- Interfere with the operation, security or availability of the platform
We may restrict or refuse access where we reasonably believe these terms have been breached.
11. Careers and Job Applications
- Advertised Positions Only: Applications can be submitted only for positions that are currently open and listed on our careers page
- File Requirements: Your CV must be a PDF, DOC or DOCX file of no more than 5 MB
- No Automatic Acknowledgement: Your application is recorded and reviewed, but the platform does not send an automatic confirmation email. We will contact you directly
- Not an Offer: Submitting an application does not create any employment relationship or entitlement to an interview
- Accuracy: Information you provide in an application must be accurate and must be yours to provide
12. Intellectual Property
- The Source Grid name, logo, website design, catalogue descriptions, photography and written content are our property or are used with permission, and are protected by applicable intellectual property law
- You may view and print pages of this website for your own legitimate business use in dealing with us
- You may not copy, republish, resell or systematically extract our content, including the product catalogue, without our written permission
- Content you submit to us — order details, messages and application documents — remains yours. You grant us permission to use it for the purpose of responding to and fulfilling your request
13. Accuracy of Information
We take care to keep the catalogue, product descriptions and guidance on this site accurate and current. Even so, descriptions, images, indicative prices and availability may change, and agricultural products vary naturally between harvests. Information on this site is provided for general guidance and does not form part of any agreement between us. What binds us is what is stated in your quote.
14. Third-Party Content and Links
Some pages embed or link to services we do not operate, including an embedded map on our contact page. We are not responsible for the content, availability or privacy practices of third-party services. Their handling of your data is described in Section 7 of our Privacy Policy.
15. Limitation of Liability
- Circumstances Beyond Our Control. Source Grid is not liable for delays, shortfalls or losses arising from circumstances beyond our reasonable control, including weather and harvest failure, crop disease, regulatory or customs changes, port congestion, carrier and third-party logistics disruption, strikes, or failures of communications or utility infrastructure
- Indirect Loss. We are not liable for indirect or consequential loss, including loss of profit, loss of contracts or loss of anticipated savings
- Cap on Liability. Where we are liable, our total liability in respect of any order is limited to the value of that order as stated on the accepted quote
- Website Availability. We do not warrant that the website will be available uninterrupted or free of error
- Statutory Rights. Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud
16. Privacy
Our handling of your personal information is set out in our Privacy Policy, which forms part of these terms. It explains what we collect, who we share it with, how long we keep it, and the rights you have over it.
17. Changes to These Terms
We may update these terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the platform after changes are posted constitutes acceptance of the revised terms. The terms that govern an order are those in force at the time the quote for that order was accepted.
18. Severability
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision is to be read as narrowly as necessary to make it enforceable.
19. Governing Law
These Terms of Service are governed by the laws of Kenya. Any dispute arising out of or in connection with these terms, or with any order placed through this platform, is subject to the jurisdiction of the Kenyan courts.
